OVERVIEW

Welcome to Wholesale Blocks. The terms “we,” “us,” and “our” refer to Wholesale Blocks, operated by Wassner Enterprises, LLC d/b/a Acacia Grove. Wholesale Blocks operates this store and website, including related information, content, features, tools, products, and services, to provide wholesale products and services to approved retailers and prospective retail partners (the “Services”).

Wholesale Blocks is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with the policies referenced herein, describe your rights and responsibilities when you access, browse, apply for wholesale access, create an account, place an order, or otherwise use the Services.

Please read these Terms carefully. By using the Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use or access the Services.

For approved wholesale retailers, the Acacia Grove Wholesale Retailer Agreement also applies. If there is any conflict between these Terms of Service and the Wholesale Retailer Agreement, the Wholesale Retailer Agreement controls for the approved retailer and the applicable wholesale transaction.

SECTION 1 - ACCESS AND ACCOUNT

By using the Services, you represent that you are at least the age of majority in your state or province of residence and are authorized to act on behalf of the business or organization you represent.

To access certain Services, including applying for wholesale access, creating an account, or placing an order, you may be asked to provide information such as your name, business name, email address, billing address, shipping address, tax documentation, payment information, and other business details.

You represent and warrant that all information you provide is accurate, current, complete, and authorized.

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You may not transfer, sell, assign, sublicense, or allow another person or entity to use your account without our written approval.

Wholesale access may be limited, suspended, or revoked at our discretion, including for failure to comply with these Terms, the Wholesale Retailer Agreement, wholesale purchasing requirements, payment obligations, or marketplace restrictions.

SECTION 2 - WHOLESALE ACCESS

Wholesale Blocks is intended for qualified retailers, distributors, educational organizations, and other approved business purchasers.

Submission of a wholesale application does not guarantee approval, account access, wholesale pricing, product availability, credit terms, or any minimum quantity of product.

We may require a completed wholesale application, resale or exemption certificate, signed Wholesale Retailer Agreement, additional business documentation, or other information before approving an account or accepting an order.

Wholesale pricing, discounts, product access, order requirements, minimum quantities, case-pack requirements, and account privileges may be changed, suspended, or discontinued for future orders at our discretion.

SECTION 3 - OUR PRODUCTS

We make reasonable efforts to accurately represent our products, including dimensions, colors, product images, descriptions, packaging, and availability.

Acacia Grove products are handmade. Normal variations in color, texture, dimensions, finish, and minor surface imperfections may occur. These normal variations do not constitute defects unless the product materially fails to conform to our written product specifications.

Product colors and appearance may vary depending on the device, monitor, browser, lighting, and display settings used to view the Services.

We reserve the right to change, update, discontinue, limit, or restrict the availability of products, product quantities, descriptions, specifications, packaging, and pricing at any time.

SECTION 4 - ORDERS

Orders are subject to our acceptance. Placing an order is an offer to purchase products from Wholesale Blocks; an order is not accepted until we confirm acceptance.

We may accept, decline, revise, cancel, or limit any order for any reason, including inventory limitations, pricing or system errors, suspected fraud, account-status issues, failure to meet wholesale requirements, or violation of these Terms or the Wholesale Retailer Agreement.

Payment is due at the time an order is placed unless alternative payment terms have been approved by us in writing.

Retailers are responsible for reviewing orders carefully before submission. Cancellation requests must be made in writing within twenty-four (24) hours after an order is placed and are not effective unless we confirm the cancellation in writing.

We may decline a cancellation request if the order has entered production, processing, picking, packing, or shipment.

Custom, special-order, made-to-order, or non-stock merchandise may not be canceled once production or preparation has begun unless we agree otherwise in writing.

SECTION 5 - PRICES, DISCOUNTS, AND BILLING

Wholesale pricing and discounts are available only to approved retailers and may be reflected through the website, a written quote, a price list, or another approved method.

Wholesale pricing and discounts do not apply to shipping, freight, handling, taxes, or other charges unless we expressly agree otherwise in writing.

Wholesale discounts may not be combined with promotions, coupons, or other discounts unless expressly authorized by us in writing.

Prices, availability, discounts, and promotions may change without notice for future orders.

We may correct typographical, clerical, pricing, product-description, inventory, or system errors in the Services, product listings, price lists, quotations, order confirmations, and other materials. If an error affects an order before shipment, we may correct the error, revise the order with your approval, or cancel the affected order and refund payment received for the affected item or order.

You agree to provide current, complete, and accurate account, billing, payment, and shipping information. You represent and warrant that payment information you provide is accurate and that you are authorized to use the selected payment method.

SECTION 6 - SHIPPING AND DELIVERY

Shipping, delivery, loss, damage, shortages, and mis-shipments are governed by our Shipping Policy and, for approved retailers, the Wholesale Retailer Agreement.

Orders are typically processed and shipped within one (1) to three (3) business days after order confirmation. Processing and shipment times may vary based on inventory availability, order volume, product availability, holidays, carrier conditions, and other operational circumstances. Delivery dates are estimates only and are not guaranteed.

Retailers are responsible for shipping, freight, handling, and other applicable charges associated with their orders, including refused shipments, returned shipments, and approved returns.

Retailers must inspect shipments promptly upon delivery and report qualifying loss, shipping damage, shortages, or mis-shipments within the applicable claim period.

Wholesale Blocks is not responsible for issues caused by incorrect shipping information supplied by the retailer, refused deliveries, improper storage or handling after delivery, or theft, pilferage, loss, or damage occurring after delivery.

SECTION 7 - RETURNS AND REFUNDS

Returns and refunds are governed by our Return and Refund Policy and, for approved retailers, the Wholesale Retailer Agreement.

Returns require our prior written approval. Unauthorized returns may be refused or may not receive credit.

Non-defective returns are accepted only at our sole discretion and are subject to applicable restocking fees, shipping, freight, handling, and other charges.

SECTION 8 - ONLINE SALES AND MARKETPLACE RESTRICTIONS

Approved retailers may sell genuine Acacia Grove products through their physical retail location(s) and through a website owned and operated by the retailer, subject to the Wholesale Retailer Agreement.

Retailers may not advertise, list, offer for sale, sell, fulfill, or otherwise distribute Acacia Grove products through third-party online marketplaces or social-commerce platforms, including Amazon, Etsy, eBay, Walmart Marketplace, Facebook Marketplace, TikTok Shop, Instagram Shop, Whatnot, Faire, or similar platforms, unless we provide prior written authorization. This restriction does not prohibit Retailer from advertising Acacia Grove products through its own website, email marketing, or general online advertising that directs customers to Retailer’s own website.

Retailers may not supply, resell, or transfer Acacia Grove products to a person or entity that they know, or reasonably should know, intends to sell the products through a prohibited marketplace or channel.

Violation of this section may result in suspension or termination of wholesale access, cancellation of pending orders, revocation of pricing privileges, or termination of the Wholesale Retailer Agreement.

SECTION 9 - INTELLECTUAL PROPERTY

The Services, including trademarks, trade names, logos, product names, packaging, trade dress, photographs, product images, product listings, descriptions, marketing materials, text, displays, graphics, video, audio, and other content, are owned by Wholesale Blocks, Acacia Grove, Wassner Enterprises, LLC, or their licensors and are protected by applicable intellectual-property laws.

Approved retailers are granted a limited, non-exclusive, non-transferable, revocable license to use approved product images, descriptions, trademarks, and marketing materials solely to advertise and sell genuine Acacia Grove products purchased directly from Wholesale Blocks and only in accordance with the Wholesale Retailer Agreement.

Retailers may not alter, edit, crop, obscure, remove, recreate, or modify our trademarks, logos, images, packaging, safety warnings, labels, product descriptions, or marketing materials without prior written approval.

Retailers may not use our trademarks, trade name, branding, or product imagery in a business name, domain name, social-media account name, marketplace storefront name, or advertising campaign in a manner that implies the retailer is Wholesale Blocks, Acacia Grove, or otherwise officially affiliated with us beyond being an authorized retailer.

All rights not expressly granted are reserved.

SECTION 10 - OPTIONAL TOOLS

We may provide access to third-party tools or services that we do not monitor or control.

You acknowledge that such tools are provided “as is” and “as available,” without warranties, representations, conditions, or endorsements of any kind. We are not liable for issues arising from your use of third-party tools or services.

Any use of third-party tools is at your own risk and subject to the terms of the applicable third-party provider.

SECTION 11 - THIRD-PARTY LINKS

The Services may include links to third-party websites, platforms, tools, or services. We do not control, endorse, guarantee, or assume responsibility for third-party content, privacy practices, security practices, products, services, or transactions.

If you access a third-party website or service, you do so at your own risk and should review that party’s terms and privacy policies.

SECTION 12 - RELATIONSHIP WITH SHOPIFY

Wholesale Blocks is powered by Shopify, which enables us to provide the Services. However, purchases and sales made through this store are made directly with Wholesale Blocks, not Shopify.

Shopify is not responsible for any sale, purchase, order, product, shipping issue, injury, loss, damage, or dispute arising from transactions between you and Wholesale Blocks.

SECTION 13 - PRIVACY POLICY

Personal information collected through the Services is governed by our Privacy Policy.

Because the Services are hosted by Shopify, Shopify may collect and process personal information about your access to and use of the Services in order to provide and improve the Services.

SECTION 14 - FEEDBACK

If you submit ideas, suggestions, feedback, reviews, proposals, plans, or other content to us, you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display that feedback for any lawful purpose, including operating, improving, and promoting the Services.

You represent that you have the necessary rights to submit any feedback and that it does not violate another party’s rights or applicable law.

SECTION 15 - ERRORS, INACCURACIES, AND OMISSIONS

Occasionally, the Services may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, availability, or other information.

We reserve the right to correct errors, inaccuracies, or omissions and to change or update information or cancel orders if any information is inaccurate, including after an order has been submitted.

SECTION 16 - PROHIBITED USES

You may use the Services only for lawful purposes.

You may not use the Services to:

  • Violate applicable law, regulation, or ordinance;
  • Infringe or violate our intellectual-property rights or the rights of another person;
  • Harass, abuse, defame, threaten, intimidate, or harm another person;
  • Submit false, misleading, fraudulent, or unauthorized information;
  • Send spam, phishing messages, junk mail, chain letters, or unsolicited solicitations;
  • Impersonate another person or entity;
  • Upload viruses, malware, or malicious code;
  • Access or attempt to access restricted areas, accounts, systems, or data without authorization;
  • Scrape, extract, reproduce, resell, or exploit content or data from the Services without written permission;
  • Use automated systems, bots, spiders, scraping tools, AI agents, or similar technologies to access the Services in a manner that bypasses or interferes with our security, access controls, or normal operation;
  • Circumvent or attempt to circumvent security measures, account restrictions, access controls, robot-exclusion headers, or other technical protections.

We may suspend, limit, disable, or terminate access to the Services if we determine that you have violated these Terms.

SECTION 17 - AGENTS

This section applies if you use, allow, enable, or cause the deployment of an automated or semi-automated software agent to access, use, or interact with the Services.

Any such agent must clearly identify itself, must not conceal or misrepresent automated activity as human activity, must comply with our access restrictions, and must not bypass CAPTCHA systems, rate limits, account controls, robot-exclusion headers, or other technical measures.

We may limit or block automated access to the Services at any time.

SECTION 18 - TERMINATION

We may suspend or terminate your access to the Services, wholesale account, pricing privileges, or pending orders at our discretion, with or without notice, subject to applicable law and the Wholesale Retailer Agreement.

Termination does not excuse payment obligations for accepted orders, amounts due, or obligations that survive by their nature, including confidentiality, intellectual-property, payment, return, online-sales, and marketplace-restriction obligations.

SECTION 19 - DISCLAIMER OF WARRANTIES

The Services and products are provided on an “as is” and “as available” basis except where an express written warranty is specifically provided by us.

To the fullest extent permitted by law, we disclaim implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, durability, and non-infringement.

Nothing in these Terms limits a warranty or liability that cannot lawfully be excluded or limited.

SECTION 20 - LIMITATION OF LIABILITY

To the fullest extent permitted by law, Wholesale Blocks, Acacia Grove, Wassner Enterprises, LLC, and their owners, officers, employees, agents, contractors, service providers, affiliates, licensors, and partners shall not be liable for indirect, incidental, special, punitive, consequential, or exemplary damages, including lost profits, lost sales, lost revenue, lost business opportunities, loss of goodwill, or reputational harm.

For approved retailers, our total liability arising out of or relating to a product, order, or transaction shall not exceed the amount actually paid by the retailer for the specific products giving rise to the claim.

Our sole obligation for a verified product defect may be, at our option, to replace the affected products, issue a credit, or refund the purchase price of the affected products.

SECTION 21 - INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Wholesale Blocks, Acacia Grove, Wassner Enterprises, LLC, and their owners, officers, employees, agents, contractors, licensors, service providers, and affiliates from claims, losses, damages, liabilities, penalties, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:

  1. Your breach of these Terms or the Wholesale Retailer Agreement;
  2. Your violation of applicable law or another party’s rights;
  3. Your products, listings, advertising, marketing, representations, fulfillment, storage, handling, modification, repackaging, or distribution of products;
  4. Your relationship with your customers; or
  5. Your access to or use of the Services.

This section does not require you to indemnify us to the extent a claim is caused by our own negligence, willful misconduct, breach of agreement, or a verified product defect for which we are responsible.

SECTION 22 - SEVERABILITY

If any provision of these Terms is found unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

SECTION 23 - WAIVER; ENTIRE AGREEMENT

Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

These Terms, the Privacy Policy, Shipping Policy, Return and Refund Policy, Wholesale Retailer Agreement, applicable written order confirmations, price lists, and wholesale policies constitute the entire agreement between you and us regarding the applicable Services and transactions.

SECTION 24 - ASSIGNMENT

You may not assign, transfer, delegate, sublicense, or otherwise convey your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations in connection with a merger, acquisition, sale of assets, restructuring, or transfer of our business.

SECTION 25 - GOVERNING LAW AND VENUE

These Terms and any separate agreements under which we provide Services are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Any legal action or proceeding arising from or relating to these Terms, the Services, or a transaction with Wholesale Blocks shall be brought exclusively in the state courts located in Ontario County, New York, or the federal court having jurisdiction over Ontario County, New York.

SECTION 26 - CHANGES TO TERMS

We may update these Terms from time to time for operational, legal, regulatory, or business reasons.

Any revised Terms will be posted on this page with an updated effective date. Continued use of the Services after revised Terms are posted constitutes acceptance of the revised Terms, to the extent permitted by law.
